Terms of Service
Last Updated: September 2026
These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("you," "your," "Customer," or "User") and Penninite ("Company," "we," "us," or "our") governing your access to and use of the penninite.info software-as-a-service platform, applications, application programming interfaces, dashboards, documentation, and all related services made available at penninite.info or any successor or affiliated Penninite (collectively, the "Service").
BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, OR BY CLICKING "I AGREE," YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, in which case "you" refers to that entity.
These Terms incorporate by reference our Privacy Policy and Cookie Policy, each of which describes how we collect, use, disclose, and safeguard information in connection with the Service. In the event of a conflict between these Terms and any other agreement you enter into with us, these Terms control unless the other agreement expressly states otherwise and is signed by an authorized representative of Penninite.
1. Service Description
Penninite provides a cloud-hosted, subscription-based software platform that enables users to access certain hosted functionality, tools, integrations, and related features through the internet (the "Service"). The specific features, functionality, storage limits, usage allowances, service tiers, and support commitments applicable to your subscription are described on our website, in an applicable order form, or in an accompanying service-level agreement (each, an "Order"). The Service is delivered on a software-as-a-service basis; no software is sold, transferred, or licensed for perpetual use, and you receive only a limited, revocable right to access the Service during the applicable subscription term.
We reserve the right to modify, enhance, deprecate, or discontinue any feature, component, module, or integration of the Service at any time, subject to Section 8 below. Unless expressly stated in an Order, the Service is provided on a general-availability basis without any guarantee of uptime, redundancy, or disaster recovery beyond our standard practices. Any free trial, preview, evaluation, or beta offering is provided "AS IS" and may be modified or terminated at any time without liability or notice.
The Service may permit you to connect third-party applications, import data, or generate outputs, including content produced with the assistance of automated or machine-learning components. You acknowledge that such outputs are generated on an automated basis, may contain errors or omissions, and must be independently reviewed and validated by qualified personnel before being relied upon for any business, financial, legal, medical, or compliance-related decision. The Service is not a substitute for professional judgment, and we disclaim all liability for decisions made in reliance on Service outputs.
You are solely responsible for procuring and maintaining all equipment, software, internet connectivity, and third-party accounts necessary to access the Service, and for ensuring that your systems meet the minimum technical requirements we publish from time to time. We are not responsible for any failure of the Service caused by your equipment, network, configuration, or third-party services outside our reasonable control.
2. Eligibility and User Accounts
To use the Service, you must be at least eighteen (18) years of age (or the age of majority in your jurisdiction of residence, if higher) and legally capable of entering into a binding contract. The Service is intended for business and professional use and is not directed to children under the age of thirteen (13). By using the Service, you represent and warrant that you satisfy these eligibility requirements and that you are not barred from using the Service under any applicable law, including United States export control and sanctions regulations.
You must register for an account by providing accurate, current, and complete information, and you agree to update such information promptly to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, tokens, and any other authentication mechanisms associated with your account. You agree not to share credentials among individuals, to configure role-based access controls appropriate to your organization, and to enable multi-factor authentication where available.
You are fully responsible for all activity that occurs under your account, whether or not authorized by you, and you must notify Penninite immediately at [email protected] upon discovering any unauthorized access, credential compromise, or security incident. We may, but are not obligated to, investigate suspicious activity and may suspend or restrict access to protect the Service, our users, or third parties.
If you use the Service on behalf of an organization, you may provision sub-accounts for your employees, contractors, and agents ("Authorized Users"). You are responsible for ensuring that all Authorized Users comply with these Terms, and any act or omission of an Authorized User will be deemed an act or omission of you. We may impose reasonable limits on the number of Authorized Users based on your subscription tier.
3. Acceptable Use Policy
Subject to your compliance with these Terms and payment of all applicable fees, Penninite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during your subscription term, solely for your internal business purposes and in accordance with all applicable documentation and laws. All rights not expressly granted are reserved by Penninite and its licensors.
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit any third party's use and enjoyment of the Service. You must comply with all applicable federal, state, and local laws, including laws governing data privacy, intellectual property, export controls, anti-spam, consumer protection, and computer fraud and abuse. You may not use the Service in any jurisdiction where such use would be unlawful or where we have suspended or terminated availability.
You are responsible for the accuracy, quality, legality, and integrity of all data, files, text, images, credentials, and other materials you upload to, transmit through, or store within the Service ("Customer Data"). You represent and warrant that you have obtained all necessary rights, consents, and legal bases required to submit Customer Data to the Service, including any notices or consents required under applicable state privacy laws such as the California Consumer Privacy Act as amended by the California Privacy Rights Act ("CCPA/CPRA") and other applicable United States state privacy statutes.
We reserve the right, but not the obligation, to monitor use of the Service for compliance with these Terms, to investigate suspected violations, and to remove or disable access to any content or account that we reasonably believe violates these Terms or applicable law. Monitoring is performed in accordance with our Privacy Policy. Our failure to enforce any provision of this Section does not constitute a waiver of our right to enforce it later.
4. Prohibited Activities
You may not, and may not permit any Authorized User or third party to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, architecture, or underlying algorithms of the Service, except to the extent such restriction is prohibited by applicable law;
- Copy, modify, adapt, translate, resell, sublicense, rent, lease, distribute, or otherwise commercially exploit the Service or provide it as a service bureau to third parties without our prior written consent;
- Use the Service to transmit malware, ransomware, spyware, worms, Trojan horses, or any other malicious or destructive code, or to conduct any denial-of-service, penetration, vulnerability-scanning, or load-testing activity without our prior written authorization;
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks, or circumvent any authentication, access-control, rate-limiting, or security mechanism;
- Use automated scripts, bots, scrapers, or crawlers to harvest data from the Service, or take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
- Upload or transmit content that is unlawful, defamatory, obscene, harassing, hateful, discriminatory, or that infringes the intellectual property, privacy, or publicity rights of any third party;
- Use the Service to send unsolicited bulk communications in violation of the CAN-SPAM Act or applicable state anti-spam laws, or to engage in deceptive, fraudulent, or misleading practices;
- Use the Service to develop, train, or improve a competing product or service, or to benchmark the Service for publication without our prior written consent;
- Remove, obscure, or alter any proprietary notices, watermarks, or attribution contained in or displayed by the Service; or
- Use the Service in violation of any applicable export control, sanctions, or anti-money-laundering laws, or on behalf of any person or entity subject to United States sanctions.
Violation of this Section may result in immediate suspension or termination of your access, removal of content, and referral to law enforcement where appropriate. You acknowledge that unauthorized use may cause irreparable harm for which monetary damages would be inadequate, and we are entitled to seek injunctive relief in addition to all other remedies available at law or in equity.
You agree to indemnify and hold Penninite harmless from any claims, losses, liabilities, damages, fines, and expenses (including reasonable attorneys' fees) arising from your violation of this Section or your misuse of the Service.
5. Content Ownership and Intellectual Property
Penninite and its licensors retain all right, title, and interest in and to the Service, including all software, source code, object code, interfaces, design elements, text, graphics, logos, trademarks, service marks, documentation, and any derivative works, improvements, or enhancements thereto. The Service is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. No rights are granted to you by implication, estoppel, or otherwise, except as expressly set forth in these Terms.
As between you and Penninite, you retain all right, title, and interest in and to your Customer Data. You grant Penninite a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, reproduce, process, transmit, display, and create derivative works of Customer Data solely as necessary to provide, maintain, secure, and improve the Service, to comply with applicable law, and to exercise our rights under these Terms. This license terminates when your Customer Data is deleted from the Service in accordance with our retention practices and Privacy Policy.
You further grant Penninite a perpetual, irrevocable, worldwide, royalty-free license to use aggregated and de-identified data derived from your use of the Service, provided that such data does not identify you or any individual and cannot reasonably be re-associated with you. We may use such data for analytics, benchmarking, product development, and industry research.
If you provide feedback, suggestions, or ideas regarding the Service, you grant Penninite an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without attribution or compensation. All rights in any resulting improvements vest solely in Penninite.
6. User-Generated Content
The Service may allow you and other users to upload, post, submit, publish, display, or transmit content, including text, documents, data sets, comments, images, and configuration files ("User Content"). You are solely responsible for all User Content you submit and for its accuracy, legality, and non-infringement. You represent and warrant that you own or control all rights in your User Content and that our use of it as contemplated by these Terms will not violate any third-party right or applicable law.
You retain ownership of your User Content. By submitting User Content, you grant Penninite a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, distribute, modify, adapt, publicly display, and perform such User Content solely for the purpose of operating, providing, and improving the Service, and as otherwise described in our Privacy Policy.
You acknowledge that the Service may enable sharing of User Content with other Authorized Users within your organization or with third parties you designate, and that once shared, Penninite cannot control further distribution by recipients. You are responsible for configuring sharing permissions appropriately and for obtaining any consents required for the disclosure of personal information contained in User Content.
We do not endorse, verify, or assume responsibility for any User Content. We reserve the right, but not the obligation, to review, screen, refuse, or remove any User Content that we reasonably believe violates these Terms, infringes third-party rights, or exposes us or others to liability. We may preserve and disclose User Content when required by law, subpoena, or court order, or when we believe in good faith that disclosure is necessary to protect rights, property, or personal safety.
7. Payment Terms and Billing
Fees for the Service are set forth on our website, in an Order, or in an applicable subscription plan description. All fees are stated and payable in United States dollars and are exclusive of applicable taxes, which you are responsible for paying, excluding taxes based on our net income. Unless otherwise stated, fees are invoiced in advance on a recurring basis (monthly or annually, as selected) and are due within thirty (30) days of the invoice date or immediately if paid by credit card.
Subscriptions automatically renew for successive terms equal to the initial term unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term. You authorize us and our payment processors to charge your designated payment method for all recurring fees, taxes, and applicable charges. You must keep your billing information current and accurate, and you authorize us to update payment details through card-network account updater services.
All fees are non-refundable and non-cancelable once paid, except as expressly required by applicable law or as otherwise stated in an Order. If you cancel mid-term, you will retain access through the end of the then-current billing period and will not receive a refund or credit for any unused portion. Prepaid fees are non-refundable upon termination for cause.
We may increase fees for any renewal term upon at least thirty (30) days' prior written notice. If you do not agree to a fee increase, you may decline to renew by providing timely notice. Late or unpaid amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and you agree to reimburse us for reasonable collection costs, including attorneys' fees. We may suspend access for accounts more than fifteen (15) days past due.
8. Service Modifications, Availability, and Beta Features
We continually evolve the Service and reserve the right to modify, update, restructure, or discontinue any part of it, including features, interfaces, APIs, integrations, and supported configurations, at any time. Where a modification materially and adversely reduces core functionality of a paid subscription, we will provide reasonable advance notice, generally not less than thirty (30) days, and you may terminate the affected subscription and receive a pro-rata refund of prepaid, unused fees as your sole remedy.
We will use commercially reasonable efforts to maintain Service availability in accordance with our published service levels, if any. However, the Service may be temporarily unavailable for scheduled maintenance, emergency repairs, upgrades, or circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or utility failures, epidemics, or third-party service outages ("Force Majeure Events"). We will not be liable for any unavailability caused by a Force Majeure Event or by your systems or third-party services.
We may offer beta, preview, early-access, or evaluation features that are clearly designated as such. Such features are provided "AS IS," may contain defects, may be modified or withdrawn at any time without notice, may not be covered by any service level or support commitment, and should not be used in production environments or for critical business operations.
You are responsible for testing any modification in a non-production environment before deploying dependent workflows and for maintaining backups of Customer Data to the extent necessary for your business continuity.
9. Third-Party Services and Integrations
The Service may interoperate with third-party applications, platforms, marketplaces, and APIs ("Third-Party Services"). Your use of Third-Party Services is governed solely by the terms and privacy policies of the applicable providers, and we are not responsible for their availability, functionality, security, or content. We do not control and are not liable for any act or omission of a Third-Party Service provider.
By enabling an integration, you authorize us to transmit and receive data to and from the applicable Third-Party Service as necessary for the integration to function, and you represent that you have the authority to grant such authorization. If a Third-Party Service provider discontinues access, changes its terms, or imposes new restrictions, the affected integration may cease to function, and we will not be liable for any resulting loss.
References to third-party trademarks are for identification purposes only and do not imply endorsement, sponsorship, or affiliation.
10. Privacy and Data Protection
Our collection, use, and disclosure of personal information in connection with the Service is governed by our Privacy Policy, and our use of cookies and similar technologies is governed by our Cookie Policy. Under the CCPA/CPRA, California residents have the right to know, delete, correct, and opt out of the sale or sharing of personal information, as well as the right to limit the use of sensitive personal information and the right not to be discriminated against for exercising these rights. Where applicable, you may exercise the right to opt out of the sale or sharing of personal information by following the instructions in our Privacy Policy.
Where we process personal information on your behalf as a service provider or processor, we will do so only for the purposes described in these Terms and our Privacy Policy, and we will not sell or share such information except as permitted by applicable law. You are responsible for providing all legally required notices to, and obtaining all legally required consents from, data subjects whose information is submitted to the Service.
We maintain administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, loss, or alteration. However, no system is completely secure, and you acknowledge the inherent risks of transmitting data over the internet. You are responsible for maintaining your own backups and for complying with any recordkeeping or regulatory obligations applicable to your industry.
11. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Penninite EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT. ANY CONTENT, OUTPUT, OR MATERIAL OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA RESULTING THEREFROM.
No advice or information, whether oral or written, obtained from Penninite or through the Service, creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you; in such case, the exclusions will apply to the maximum extent permitted by law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Penninite, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO Penninite FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100).
The limitations and exclusions in this Section apply regardless of whether any limited remedy is found to have failed its essential purpose, and constitute a fundamental basis of the bargain between the parties. You acknowledge that absent these limitations, the fees charged for the Service would be substantially higher.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow the limitation or exclusion of incidental or consequential damages, so certain portions of this Section may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Penninite and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, actions, demands, liabilities, damages, losses, judgments, settlements, fines, penalties, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your use of the Service; (b) your Customer Data or User Content; (c) your breach of these Terms; (d) your violation of any applicable law or third-party right; or (e) any dispute between you and another user or third party.
We will promptly notify you of any such claim and will reasonably cooperate with you in its defense at your expense. You may not settle any claim in a manner that imposes any obligation or admission of liability on Penninite without our prior written consent. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully.
14. Termination and Suspension
These Terms remain in effect for as long as you access or use the Service or maintain an active subscription. Either party may terminate your subscription for convenience by providing written notice at least thirty (30) days prior to the end of the then-current term. We may suspend or terminate your access immediately, without notice or liability, if you materially breach these Terms, fail to pay applicable fees, use the Service in a manner that poses a security risk or legal exposure to us or third parties, or if required by law.
Upon termination or expiration, your right to access the Service ceases immediately. You will have a period of thirty (30) days following termination to export your Customer Data using available self-service tools, after which we may delete or anonymize it in accordance with our retention practices and Privacy Policy, unless we are legally required or permitted to retain it. We are not liable for any loss of Customer Data that occurs after the export window closes.
If we terminate your subscription for cause, all fees owed through the end of the term become immediately due, and no refunds will be issued. If we terminate for our convenience without cause, you will receive a pro-rata refund of any prepaid, unused fees. Sections concerning intellectual property, confidentiality, indemnification, disclaimers, limitation of liability, governing law, and general provisions survive termination.
We may also suspend the Service temporarily to prevent harm to the Service, our users, or third parties, or to comply with a court order or lawful governmental request. We will use reasonable efforts to restore access promptly once the grounds for suspension are resolved.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United States and the state in which Penninite maintains its principal place of business, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Except as set forth below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator, in a location selected in accordance with AAA rules or, at your election, by telephone or videoconference. The arbitration shall be conducted in English, and the arbitrator's award shall be final and enforceable in any court of competent jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU AND Penninite AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information, and you may bring an individual claim in small-claims court if it qualifies. You may opt out of arbitration by sending written notice to [email protected] within thirty (30) days of first accepting these Terms.
16. Copyright Complaints (DMCA)
Penninite respects the intellectual property rights of others and responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (17 U.S.C. ยง 512). If you believe that content available through the Service infringes your copyright, please send a written notice to [email protected] including: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification and location of the allegedly infringing material; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
We may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers. Counter-notices may be submitted in accordance with the DMCA and will be handled in the manner prescribed by law.
17. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account, by posting a prominent notice within the Service, or by updating the "Last Updated" date above, in each case at least thirty (30) days before the changes take effect, unless a shorter period is required by law or necessary to address a security or legal risk.
Your continued use of the Service after the effective date of any revision constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your subscription in accordance with Section 14. We encourage you to review these Terms periodically.
18. General Provisions
Entire Agreement. These Terms, together with any Order and the policies incorporated by reference, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous agreements, proposals, and communications, whether written or oral.
Assignment. You may not assign or transfer these Terms, in whole or in part, without our prior written consent, and any attempted assignment in violation of this provision is void. We may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Severability and Waiver. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Notices. Notices to you may be given via email to the address associated with your account or through in-Service notifications. Notices to Penninite must be sent to [email protected] or to the mailing address listed in Section 19. Force Majeure. Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control. Relationship. The parties are independent contractors, and nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
