Terms and Conditions
Last Updated: September 2026
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Penninite ("we," "us," "our," or the "Company") governing your access to and use of the website located at penninite.info and any related applications, software, platforms, features, and services offered by the Company (collectively, the "Service"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By accessing, browsing, registering for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue all use of the Service.
You represent and warrant that you have the legal capacity to enter into a binding agreement and that you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction of residence, whichever is greater. If you are entering into these Terms on behalf of a company, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity, in which case "you" shall refer to that entity.
Your continued use of the Service following the posting of any revised version of these Terms constitutes your acceptance of such revisions. You are responsible for reviewing these Terms periodically. These Terms apply to all visitors, registered users, subscribers, and any other persons who access or use the Service in any manner.
2. Use of Service
Subject to your compliance with these Terms, Penninite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business or personal purposes. All rights not expressly granted to you are reserved by the Company and its licensors.
The Service is provided on a subscription, trial, or free-tier basis as described on penninite.info. Certain features may be subject to additional fees, usage limits, service-level commitments, or supplemental terms presented to you at the time of purchase. Fees are payable in United States dollars and, unless otherwise stated, are non-refundable except as required by applicable law or as expressly provided in a separate written agreement.
We reserve the right to modify, suspend, restrict, or discontinue all or any portion of the Service at any time, with or without notice, including the availability of any feature, database, or content. We further reserve the right to impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.
You are solely responsible for obtaining and maintaining all equipment, internet connectivity, software, and third-party services necessary to access the Service, and for all costs associated therewith. We do not guarantee that the Service will be compatible with every device, browser, or operating environment.
3. User Obligations
You agree to provide accurate, current, and complete information during any registration process and to promptly update such information to keep it accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use of your account or any other breach of security.
You agree not to, and not to permit any third party to:
- use the Service for any unlawful, fraudulent, infringing, defamatory, harassing, or abusive purpose, or in violation of any applicable federal, state, or local law or regulation;
- reverse engineer, decompile, disassemble, scrape, crawl, or attempt to derive the source code, structure, or underlying algorithms of the Service, except to the extent such restriction is prohibited by law;
- access the Service by automated means, circumvent any access controls, rate limits, authentication measures, or security features, or introduce viruses, malware, or other harmful code;
- resell, sublicense, rent, lease, time-share, or otherwise commercially exploit the Service without our prior written consent;
- upload or transmit content that you do not have the right to disclose, or that contains sensitive personal data of third parties without proper authorization;
- interfere with or disrupt the integrity or performance of the Service or the data contained therein.
You are solely responsible for all content, data, files, and materials that you upload, submit, or transmit through the Service ("User Content") and for ensuring that your use of the Service, including any integration with third-party systems, complies with all laws applicable to you, including data protection and privacy laws.
4. Intellectual Property Rights
The Service, including all software, source code, object code, user interfaces, text, graphics, logos, designs, trademarks, service marks, and the selection and arrangement thereof, is owned by Penninite, its affiliates, or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Except for the limited license expressly granted in Section 2, nothing in these Terms grants you any right, title, or interest in or to the Service or any Company intellectual property. You may not copy, reproduce, modify, distribute, publicly display, publicly perform, or create derivative works of the Service without our express prior written consent.
You retain all right, title, and interest in and to your User Content. By submitting User Content, you grant Penninite a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, and display such User Content solely as necessary to provide, maintain, secure, and improve the Service, and to comply with legal obligations. You represent and warrant that you own or control all rights necessary to grant this license.
If you provide suggestions, feedback, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback into our products and services without compensation or attribution to you. We respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA); notices should be sent to [email protected].
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Penninite, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF Penninite ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO THE COMPANY FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).
The limitations and exclusions set forth in this Section apply notwithstanding the failure of any essential purpose of any limited remedy and shall survive any termination or expiration of these Terms. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.
6. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Penninite DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, nor do we warrant that any defects will be corrected or that the Service will meet your specific requirements or expectations. You acknowledge that your use of the Service is at your sole risk and discretion.
The Service may contain features powered by artificial intelligence or machine learning, as well as integrations with third-party products and services. Outputs generated by such features may be inaccurate, incomplete, or unsuitable for your purposes, and you are solely responsible for reviewing and validating any output before relying upon it. We are not responsible for the acts, omissions, content, or availability of any third-party service.
The Service does not provide legal, tax, accounting, financial, medical, or other professional advice. Any information made available through the Service is for general informational purposes only and should not be relied upon as a substitute for consultation with a qualified professional. You are solely responsible for compliance with all laws applicable to your business and use of the Service.
7. Indemnification
You agree to defend, indemnify, and hold harmless Penninite, its affiliates, and each of their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or any applicable law; (d) your violation of any rights of a third party, including intellectual property or privacy rights; or (e) any dispute between you and a third party relating to the Service.
We reserve the right, at our sole expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with us in asserting any available defenses and shall not settle any such matter without our prior written consent.
This indemnification obligation is independent of, and shall survive, the termination or expiration of these Terms and your cessation of use of the Service.
8. Governing Law
These Terms and any dispute or claim arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the United States and the internal laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Subject to Section 9 (Dispute Resolution), you and Penninite agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any action not subject to arbitration. Nothing in this Section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Nothing in these Terms shall be construed to waive, limit, or restrict any non-waivable rights you may have under applicable United States federal or state law, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA) and other applicable state privacy laws, where applicable. Where you are a consumer resident in a state with mandatory consumer protection provisions, those provisions apply to the extent they cannot be waived by agreement.
9. Dispute Resolution
Before initiating any formal proceeding, you and Penninite agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Service by providing written notice to the other party describing the dispute and the relief sought. The parties shall have thirty (30) days from receipt of such notice to reach a resolution.
If the dispute is not resolved within that period, any controversy or claim shall be settled by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or Consumer Arbitration Rules, if applicable). The arbitration shall be conducted in the State of Delaware, or, at your election if you are a consumer, in your state of residence, before a single arbitrator. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction. Judgment on the award may be entered in any court having jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND Penninite EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. All disputes shall be resolved on an individual basis, and the arbitrator may not consolidate claims of more than one person or preside over any form of class proceeding.
Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies, and either party may seek injunctive relief in court to prevent the actual or threatened infringement of intellectual property rights. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms; opting out will not affect any other part of these Terms.
10. Termination
These Terms remain in effect for so long as you access or use the Service. We may suspend or terminate your access to the Service, in whole or in part, immediately and without notice if we reasonably believe you have violated these Terms, pose a security or legal risk, or if required by law. We may also terminate or suspend the Service generally, or your account, for convenience upon reasonable notice.
You may terminate these Terms at any time by ceasing all use of the Service and, if applicable, closing your account through your account settings or by contacting us at [email protected]. If you have a paid subscription, termination does not entitle you to a refund of prepaid fees except as required by law or expressly stated in a separate written agreement.
Upon termination, your license to use the Service terminates immediately, and you must cease all use of the Service. We may delete or deactivate your account and any User Content in accordance with our retention practices and the Privacy Policy. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions that by their nature should survive, shall survive termination.
11. Changes to Terms
We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make changes, we will revise the "Last Updated" date at the top of this page and, where the changes are material, provide additional notice by email, in-product notification, or prominent posting on penninite.info.
Material changes become effective no earlier than thirty (30) days after the date of notice, unless a shorter period is required by law or the changes relate to security, legal compliance, or new functionality. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service before the effective date. We encourage you to review these Terms periodically to stay informed of any updates. No modification to these Terms by you shall be binding unless made in writing and signed by an authorized representative of Penninite.
